01Acceptance of terms

By accessing or using nchrge.com, the N'Chrge mobile application, or related APIs (together, the "Service"), operated by N'Chrge, Inc. ("N'Chrge", "we", "us"), you agree to these Terms of Service. If you do not agree, do not use the Service.

02The service

N'Chrge is an AI-powered social, learning, and simulated trading platform for discovering private companies and founders in the pre-market. Depending on your role — Founder, Investor, Enterprise, or Observer — the Service may include:

• Company profiles and social feeds (posts, likes, comments, follows).
• Educational "Learn" modules with quizzes and progress tracking.
• Paper trading — a virtual portfolio with simulated buys and sells for learning and illustration only. Paper trading is not live brokerage, order routing, or real securities trading.
• Founder↔investor introductions intended for networking — not securities transactions.
• Personalized recommendations based on your interest survey, profile, and in-app behavior. Recommendation copy may be generated with the help of an AI language model, with template fallbacks.

N'Chrge is not yet a registered broker-dealer or alternative trading system (ATS). Nothing on the Service is an offer to sell, or a solicitation of an offer to buy, securities. Prices, scores, tickers, portfolios, and paper-trading results shown on the Service are informational or illustrative and do not represent tradable quotes or executable orders.

03Eligibility & accounts

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate account information and keep it up to date — especially role, profile details, and any verification materials you submit.
• You are responsible for your credentials and all activity under your account. Notify us promptly if you suspect unauthorized access.

04Founder content & disclosures

Founders (and other users who publish company information) are solely responsible for the accuracy and completeness of what they post — including profiles, disclosures, media, and intro messages. You retain ownership of content you submit, and grant N'Chrge a non-exclusive, worldwide license to host, display, distribute, and create derivative works (such as recommendation summaries) of that content as needed to operate and improve the Service.

05Acceptable use

• No false, misleading, or manipulative statements about any company or person.
• No market manipulation, pump-and-dump schemes, or coordinated inauthentic activity.
• No abuse of introductions — including spam, harassment, or using intros to solicit unlawful securities transactions through the Service.
• No fake, forged, or misleading verification materials or role claims.
• No scraping, reverse-engineering, or interfering with the Service.
• No unlawful, infringing, or harassing content.

06Not investment advice

Content on the Service — including educational material, scores, feeds, recommendations, and paper-trading results — is for informational and educational purposes only and is not investment, legal, or tax advice. Paper-trading performance does not predict and is not equivalent to real-world investment results. Investing in private companies is speculative and involves substantial risk, including total loss. Consult your own advisers.

07Disclaimers & limitation of liability

The Service is provided "as is" without warranties of any kind, including as to availability, accuracy of third-party or user content, AI-generated text, or paper-trading simulations. To the maximum extent permitted by law, N'Chrge's aggregate liability arising out of the Service will not exceed the greater of $100 or the amounts you paid us in the prior 12 months.

08Termination

We may suspend or terminate access for violation of these Terms or to protect the Service and its users. You may stop using the Service and request account deletion through in-app settings or by contacting us. Sections that by their nature should survive termination do.

09Changes

We may update these Terms as the Service evolves (including if we obtain broker-dealer or ATS registration). Material changes will be announced on the Service; continued use after changes means acceptance.
